Acceptance of these Terms
These Terms of Service (the “Terms”) govern your access to and use of the QuantumPagos website, software, portals, and related services (collectively, the “Services”). “QuantumPagos,” “we,” “us,” and “our” refer to QuantumPagos. By accessing or using the Services, you agree to these Terms. If you use the Services for a business or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree, do not access or use the Services. Additional written terms, including a merchant services agreement, order form, implementation statement, or payment-processing agreement, may apply. If those terms conflict with these Terms, the signed written terms control for that subject.
Eligibility and authority
You must be at least 18 years old and legally capable of entering a binding contract. Business users must have authority to act for the applicable merchant. The Services are intended for businesses and their authorized users, and are not directed to children under 13.
The Services
QuantumPagos provides configurable commerce technology for jewelry businesses, which may include storefronts, inventory tools, layaway-payment features, repair tracking, reporting, customer communications, onboarding assistance, and payment integrations. Features vary by merchant, plan, implementation, jurisdiction, and third-party availability.
We may improve, modify, suspend, or discontinue portions of the Services. We will provide notice when a change materially affects an active paid service and notice is reasonably practicable.
Accounts and security
You must provide accurate information, keep it current, protect your credentials, and restrict access to authorized personnel. You are responsible for activity under your account unless caused by our breach of these Terms or applicable law.
Notify us promptly at [email protected] if you suspect unauthorized access, credential compromise, or misuse of the Services.
Merchant responsibilities
Each merchant using QuantumPagos is responsible for:
- the accuracy, legality, pricing, availability, and description of its products;
- its customer service, taxes, warranties, returns, repairs, fulfillment, and disclosures;
- obtaining required permissions for customer, employee, product, and marketing data;
- complying with consumer-protection, privacy, payment, advertising, and jewelry-industry laws; and
- using the Services only for lawful, authorized business purposes.
Merchants control their storefront content and commercial policies. QuantumPagos may assist with catalog onboarding, but the merchant remains responsible for reviewing and approving the published information.
Jewelry purchases, layaway, repairs, and delivery
QuantumPagos provides technology to merchants; it does not own or sell the jewelry listed by those merchants unless expressly stated in a separate written agreement. The applicable merchant is the seller and service provider for jewelry purchases, layaway plans, repairs, shipping, pickup, returns, refunds, warranties, and related customer commitments.
Merchant-specific terms shown at checkout or enrollment govern each transaction. For layaway purchases, the merchant generally retains the item until the customer pays the balance in full. Customers should review the merchant’s payment schedule, cancellation terms, fees, refund policy, maximum plan duration, and delivery or pickup timing before enrolling. Repair estimates and status updates are informational and may change as the merchant evaluates or completes the work.
Payments and third-party financial services
Payment acceptance, settlement, identity verification, underwriting, and related financial services may be provided by independent payment processors, sponsoring financial institutions, card networks, or other regulated partners. Their terms and privacy notices may apply in addition to these Terms.
You authorize applicable charges and agree to provide accurate payment and business information. Payment approval, settlement timing, reserves, reversals, disputes, and account eligibility may be determined by the applicable financial-services provider and governing network rules.
Acceptable use
You may not use the Services to:
- violate law, another person’s rights, or card-network or financial-partner rules;
- sell prohibited, counterfeit, stolen, misleadingly described, or unlawfully sourced goods;
- submit fraudulent transactions or evade sanctions, underwriting, monitoring, or security controls;
- introduce malicious code, probe vulnerabilities, disrupt the Services, or access data without authorization;
- scrape, reverse engineer, resell, or copy the Services except as permitted by law or written agreement; or
- use customer data for purposes inconsistent with the customer’s notice, consent, or applicable law.
Ownership, licenses, and feedback
QuantumPagos and its licensors own the Services, software, visual design, trademarks, documentation, and related intellectual property. Subject to these Terms and any paid agreement, we grant you a limited, nonexclusive, nontransferable, revocable right to use the Services for your internal business operations.
You retain ownership of content and data you lawfully submit. You grant us the rights reasonably necessary to host, process, display, transmit, and support that content to provide and secure the Services. If you provide feedback, you permit us to use it without restriction or compensation, without identifying you publicly without permission.
Third-party services and links
The Services may connect with payment processors, shipping providers, messaging tools, ecommerce services, or other third parties. We do not control their services, and their terms, availability, and privacy practices govern your direct relationship with them. We are not responsible for third-party services except to the extent required by law or an express written agreement.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” QUANTUMPAGOS DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR EVERY BUSINESS REQUIREMENT. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTUMPAGOS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES.
EXCEPT FOR LIABILITY THAT CANNOT LEGALLY BE LIMITED, OUR AGGREGATE LIABILITY ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID DIRECTLY TO QUANTUMPAGOS FOR THE SERVICES DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. A SIGNED COMMERCIAL AGREEMENT MAY PROVIDE A DIFFERENT CAP.
Indemnification
To the extent permitted by law, a business user will defend and indemnify QuantumPagos and its affiliates from third-party claims, damages, and reasonable costs arising from that user’s products, content, customer commitments, unlawful conduct, violation of these Terms, or infringement of another person’s rights. This obligation does not apply to the extent a claim results from QuantumPagos’s own breach, negligence, or willful misconduct.
Suspension and termination
We may suspend or restrict access when reasonably necessary to protect customers, the Services, payment partners, or the public; investigate suspected fraud or unlawful activity; comply with law; or address a material breach. You may stop using the public website at any time. Termination of paid Services is governed by the applicable signed agreement. Provisions that by their nature should survive termination will survive.
Governing law and disputes
These Terms are governed by applicable United States law and the laws of the state in which QuantumPagos maintains its principal place of business, without regard to conflict-of-law principles. Before filing a claim, each party agrees to provide written notice and make a good-faith effort to resolve the dispute informally for at least 30 days. Any mandatory rights or venue protections provided by applicable law remain unaffected.
Changes to these Terms
We may update these Terms as the Services or law changes. We will post the revised version and update the effective date. If a change materially reduces rights for an active paid customer, we will provide additional notice when required by law or the applicable commercial agreement. Continued use after the effective date constitutes acceptance of the updated Terms.
